Intermediary in B2B Transactions

These terms and conditions (“Terms”) constitute a legal agreement between Suppliersweb ApS, hereinafter referred to as the “Intermediary,” and any business, organization, or individual, hereinafter referred to as the “Buyer,” using Suppliersweb ApS for the purchase of products.

General Description:

1.1 Suppliersweb ApS acts as the primary intermediary between the Buyer and suppliers of clothing products. The Intermediary serves as a facilitator, enabling the Buyer to make purchases without direct contact with the suppliers.

1.2 In the event of issues related to an order, Suppliersweb ApS is obligated to assist in resolving these issues in collaboration with both suppliers and the Buyer. It is important to note that Suppliersweb ApS acts as a broker and is not liable for any defects in the products or the delivery process itself.

Order Confirmation:

2.1 An order is only binding when it is approved in writing by both the Intermediary and the Buyer.

Ordering and Payment:

3.1 The Buyer places orders, and prices and payment terms for each order will be specified in the individual order confirmation.

3.2 The Buyer is invoiced for the order and makes payment upon receipt of the invoice through Stripe, Inc.

3.3 Suppliers invoice Suppliersweb ApS for the order and ship the products directly to the Buyer.

Prices and Delivery:

4.1 Prices and delivery terms vary depending on the specific order and size. Prices and delivery terms for each order will be specified in the individual order confirmation.

4.2 Delivery takes place in accordance with the terms and conditions specified in the individual order confirmation for each order.

Confidentiality:

5.1 The Intermediary and the Buyer commit to maintaining strict confidentiality regarding all information obtained from the other party in connection with the execution of the Agreement. This information may not be disclosed to a third party or used for purposes other than facilitating and executing the Agreement without the prior written consent of the other party.

5.2 The obligations in Section 5.1 of the Agreement do not apply to information that is publicly available or obtained by a party in good faith from a third party.

5.3 Confidentiality obligations also do not apply to information developed independently by a party without the use of the other party’s information or information disclosed as part of fulfilling legal obligations.

Agreement Changes:

6.1 The Agreement between the Intermediary and the Buyer can only be amended in writing.

Governing Law and Dispute Resolution:

7.1 Any dispute or disagreement between the Intermediary and the Buyer regarding these Terms shall be resolved through arbitration in accordance with the laws of Denmark and the relevant arbitration rules.

7.2 These terms and conditions are binding for both Suppliersweb ApS and the Buyer and apply to all transactions through Suppliersweb ApS. By using the platform, the Buyer agrees to comply with these Terms.
